These General Terms and Conditions (GTC) apply to all contracts between EXCON Services GmbH (a limited liability company) and its customers ("Customer") regarding the use of the offered AI-based software solutions, automation services, and cybersecurity solutions.
2. Subject Matter of the Contract
2.1 SkylineAI provides the customer with AI software solutions, AI agents, automation solutions for workflows, and AI-powered cybersecurity services (hereinafter referred to as "Services").
2.2 The Services include, in particular:
Development and provision of AI-based automation tools
Analysis and optimization of work processes through AI agents
Cybersecurity solutions with AI integration
Training and support for the use of the provided solutions
3. License and Usage Rights
3.1 SkylineAI grants the customer a simple, non-exclusive, and non-transferable right to use the software, limited to the scope agreed upon in the contract.
3.2 The customer is not authorized to modify, redistribute, or make the software accessible to third parties.
3.3 All rights to the software, including the underlying algorithms, AI models, and technologies, remain the property of SkylineAI.
4. Customer Obligations
4.1 The customer commits to using the software solely in compliance with legal regulations and in accordance with SkylineAI’s technical specifications.
4.2 The customer is responsible for ensuring the accuracy, completeness, and legality of input data. SkylineAI shall not be liable for errors or incomplete results arising from incorrect or faulty input data.
4.3 The customer is prohibited from using the software for illegal purposes or for processing personal data without a legal basis.
5. Data Protection and Data Security
5.1 The processing of personal data is carried out in accordance with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).
5.2 SkylineAI uses anonymized or pseudonymized data to improve AI models, provided this has been contractually agreed upon.
5.3 The customer ensures that they possess all necessary consents and rights for the processing of the data they provide.
6. Liability
6.1 SkylineAI shall not be liable for indirect damages, including but not limited to lost profits, consequential damages, or data loss arising from the use of the software.
6.2 Liability for intentional misconduct, gross negligence, or the breach of essential contractual obligations remains unaffected.
6.3 SkylineAI does not guarantee the accuracy or completeness of AI-generated results. The software is intended as a support tool and does not replace human review.
7. AI-Specific Provisions
7.1 The software utilizes machine learning algorithms, the results of which depend on the quality of the input data. The customer acknowledges that AI-based decisions may not always be error-free.
7.2 SkylineAI does not guarantee 100% accuracy of AI-generated results. The customer is responsible for verifying the outcomes.
8. Remuneration and Payment Terms
8.1 The compensation is based on the agreed pricing model (e.g., subscription, one-time license, or usage-based fees).
8.2 Invoices are due within 14 days of receipt without deduction. In the event of late payment, SkylineAI reserves the right to suspend services or charge default interest at a rate of 8% above the European Central Bank’s (ECB) base rate.
9. Contract Term and Termination
9.1 Contracts are concluded for an indefinite period, unless otherwise agreed.
9.2 Both parties may terminate the contract with 30 days' notice to the end of a month.
9.3 In the event of serious breaches of these General Terms and Conditions (e.g., unauthorized distribution of the software), immediate termination without notice is possible.
10. Amendments to the General Terms and Conditions
10.1 SkylineAI reserves the right to amend these General Terms and Conditions with 30 days' notice. The customer will be informed of any changes via email.
10.2 If the customer does not object to the changes within 14 days of receiving the notification, the updated General Terms and Conditions will be deemed accepted.
11. Final Provisions
11.1 These General Terms and Conditions are governed by German law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
11.2 The place of jurisdiction for all disputes is Berlin, provided the customer is a merchant, a legal entity under public law, or a public-law special fund.
11.3 If any provision of these General Terms and Conditions is found to be invalid, the validity of the remaining provisions shall remain unaffected.
